Statement

For good and valuable consideration, the receipt of which is acknowledged, [name of signer], individually and on behalf of [name of entity/minor], as well as its affiliates, subsidiaries, officers, employees, agents, and advisors (collectively, “Licensor”) grants SKNV, as well as its affiliates, subsidiaries, officers, employees, agents, and advisors (collectively, “Licensee”), the non-exclusive right, in perpetuity and throughout the universe, to use Licensor’s name, likeness, voice, activities, attributes, and/or biographical information in connection with the production, advertising, distribution and other promotion of the products or services distributed, licensed, sold, or provided by Licensee (the “Product(s)/Service(s)”) (including, without limitation: advertisements, articles, videos, photos (edited or original) websites, promotional materials, television appearances, commercials, programming, and interviews), and all subsidiary and ancillary rights, in perpetuity throughout the universe and in any and all media, whether now known or hereafter created, including, without limitation, publications, merchandising and commercial tie-ups (the “License”).

Provided, however, that in no event shall Licensee depict Licensor as using or endorsing any product or service without Licensor’s prior consent. It is understood and agreed that, if Licensee is using Licensor’s name, likeness, activities, attributes and/or biography in connection with any Product/Service already in production as of the date of this Agreement, Licensor agrees this is an acceptable use and shall not require Licensor’s consent.

In the event Licensee is sold to or acquired by an entity, this License shall be immediately assigned to that entity without the need to seek Licensor’s prior approval. Licensee agrees not to otherwise assign, sell, or otherwise transfer the entirety of this License to another entity without Licensor’s permission. This provision shall not prohibit Licensee from using this License when working with other entities to create or distribute Licensee’s Products/Services, and Licensor understands Licensee intends to do so, but Licensee will retain all ownership in the License.

Licensee and Licensor agree to indemnify and hold each other harmless from any and all claims, causes of action, or damages, arising from or relating to this Agreement and the License, but only to the extent caused by an indemnifying party.

Licensor represents that: a) Licensor is a capacitated adult over the age of 18 OR is the legal guardian or representative of the minor below; b) Licensor has the right to enter into this Agreement; c) Licensor has not granted a license to anyone else that would conflict with the granting of this License; and d) Licensor is not aware of any facts that would make using this License problematic.

Statement

This Agreement has been drafted under and shall be interpreted and performed under the law of the State of Florida. If any provision of this Agreement is found by a court of competent jurisdiction to be void or unenforceable, the Agreement will be enforced to the extent allowed by applicable law.

This Agreement shall supersede any other agreements between Licensee and Licensor pertaining to licensing prior to the date of this Agreement. This Agreement may not be modified except in writing and signed by each of Licensor and Licensee.
